TechShield Auto Terms & Conditions
By checking the acceptance box, clicking “I Accept,” “Agree,” or a similar button, submitting an account request, creating a username or account, logging into the application, accessing the application, or using any portion of the TechShield Auto service, you acknowledge that you have read, understood, and agree to be legally bound by these Terms and Conditions.
If you do not agree to these Terms and Conditions, do not create an account, access, or use TechShield Auto.
1. Service
TechShield Auto is a workshop-management software service provided by TechShieldIT LLC (“TechShieldIT,” “we,” “us,” or “our”).
Available features depend on the subscription plan, enabled modules, user permissions, equipment provided, and location access assigned to the account.
TechShield Auto may include software, account access, payment-terminal integrations, equipment programs, and other services that are separately identified during signup or onboarding.
2. Subscription Plans, Pricing and Taxes
Subscription prices displayed on the TechShield Auto website are monthly software-subscription prices before applicable taxes.
Taxes may be added based on the billing address and applicable jurisdiction.
Current public monthly pricing shown at signup is:
- Basic with a TechShieldIT-provided Verifone program: $69.99/month
- Basic without a TechShieldIT-provided Verifone: $89.99/month
- Premium with a TechShieldIT-provided Verifone program: $99.99/month
- Premium without a TechShieldIT-provided Verifone: $129.99/month
All prices are before applicable taxes.
Multi-location controls remain part of the platform, but new multi-location activations may be temporarily unavailable. If an add-on is re-enabled for new subscriptions, availability and any applicable pricing will be disclosed before activation.
Hardware, terminal services, messaging usage, custom integrations, data migration, support services, and other services may be priced separately when applicable.
3. Payment Processing and Verifone Fees
3.1 Client-Owned Payment Terminal
If the workshop uses its own Verifone or other merchant terminal, the workshop's existing merchant-processor agreement determines the actual processing cost.
Depending on that agreement, charges may include:
- percentage-based processing fees;
- fixed per-transaction fees;
- interchange and assessment fees;
- chargeback fees;
- PCI or non-compliance fees;
- terminal rental or service fees;
- connectivity charges; and
- other processor or terminal-provider charges.
TechShieldIT does not establish or control the rates charged by the workshop's independent merchant processor unless expressly stated otherwise in a separate written agreement.
TechShield Auto does not replace the workshop's merchant account, merchant-processing agreement, or processor relationship.
3.2 TechShieldIT-Provided Verifone
If TechShieldIT provides or supplies a Verifone terminal under the TechShield Auto program, the applicable TechShieldIT-provided terminal program may include a $0.50 TechShieldIT transaction fee for each transaction processed through that TechShieldIT-provided terminal.
The $0.50 fee is a separate TechShieldIT technology, terminal-program, or service fee and is not the merchant processor's processing fee.
The $0.50 fee does not replace, include, or eliminate any applicable:
- processor fee;
- interchange fee;
- assessment fee;
- chargeback fee;
- PCI fee;
- non-compliance fee;
- connectivity fee;
- terminal-service fee;
- taxes; or
- other third-party payment-processing charges.
The merchant processor remains responsible for payment authorization, settlement, and processor charges under the applicable merchant-processing agreement.
3.3 Client Responsibility for Transactions
The Client is solely responsible for all transactions conducted through its merchant account, including charges, refunds, chargebacks, disputes, fraud claims, customer claims, and compliance with applicable payment-network, processor, and merchant-account requirements.
TechShieldIT is not responsible for the Client's underlying transaction, merchant-account relationship, or decisions made by the Client or its employees in connection with a payment.
The Client is responsible for ensuring that its employees, representatives, and authorized users use the payment terminal and payment-processing functionality in accordance with applicable law, the Client's merchant-processing agreement, applicable payment-network rules, and the instructions provided by the applicable payment processor or terminal provider.
Any dispute concerning whether a payment should have been authorized, refunded, reversed, charged back, or otherwise processed must be addressed through the Client's merchant processor and/or applicable payment-network dispute process, except to the extent the matter is directly attributable to a separate obligation expressly assumed by TechShieldIT in writing.
3.4 No Modification of Processor Rates
TechShieldIT does not represent that the $0.50 TechShieldIT transaction fee changes, modifies, or increases the underlying rate charged by the merchant processor.
The Client's processor fees and TechShieldIT fees are separate charges and may both apply to the same transaction.
TechShieldIT's separately disclosed technology, software, terminal, or equipment-related fees do not constitute a modification of the merchant processor's contractual processing rate.
3.5 Payment-Processing Relationship
Unless expressly stated in a separate written agreement, TechShieldIT is providing software, technology, equipment, integration, or related services and is not assuming the responsibilities of the Client's merchant processor.
The Client remains responsible for maintaining any required merchant account and for complying with the terms established by its payment processor, acquiring bank, payment network, and other applicable third-party providers.
TechShieldIT may suspend or disable payment-terminal functionality where reasonably necessary because of suspected fraud, misuse, security concerns, processor requirements, equipment issues, non-payment of applicable TechShieldIT fees, or other circumstances requiring suspension.
4. Equipment and Verifone Program
Where a TechShieldIT-provided Verifone terminal is included as part of a selected subscription or equipment program, the terminal remains subject to the terms applicable to that equipment and payment-processing arrangement.
The Client is responsible for:
- using the equipment only for lawful business purposes;
- maintaining reasonable physical care of the equipment;
- preventing unauthorized use;
- notifying TechShieldIT of loss, theft, damage, malfunction, or unauthorized access;
- complying with applicable payment-card and processor requirements; and
- following reasonable instructions provided by TechShieldIT or the applicable terminal or processor provider.
Ownership of equipment, equipment rental, replacement costs, deposits, return requirements, and other equipment-specific terms will be determined by the applicable equipment or service arrangement.
Unless expressly stated otherwise in writing, the provision of a Verifone terminal does not mean that TechShieldIT is the Client's merchant processor.
The Client may not sell, transfer, lease, loan, modify, tamper with, or otherwise dispose of TechShieldIT-provided equipment without TechShieldIT's prior written authorization.
5. Account Activation and Billing
The public signup form is an onboarding request and may not collect payment at the time of submission.
Account activation, billing start date, subscription plan, equipment arrangement, and any additional commercial setup terms may be confirmed during onboarding.
The Client authorizes TechShieldIT to provide the services associated with the selected plan once the account is activated.
Plan access may be changed according to the subscribed plan and applicable service terms.
The Client is responsible for providing accurate billing and business information.
6. Account Creation, Username and Use of the Application
The Client acknowledges and agrees that acceptance of these Terms is not limited to checking an acceptance box.
By creating a username, creating an account, receiving account credentials, logging into, accessing, or using TechShield Auto, the Client acknowledges that the Client has received notice of these Terms and agrees to be bound by them.
If the Client creates an account or username on behalf of a workshop, company, or other business, the person creating the account represents that they are authorized to do so on behalf of that business.
The Client is responsible for maintaining the confidentiality of usernames, passwords, access credentials, and other account information.
Account credentials must not be knowingly shared with unauthorized persons.
The Client is responsible for all activity conducted through its account by its employees, representatives, contractors, or other authorized users, except to the extent otherwise required by applicable law.
7. Authorized Use and Account Responsibility
The subscribing workshop is responsible for:
- authorized staff access;
- accurate business information;
- appropriate user and role assignments;
- appropriate location permissions;
- lawful use of customer and vehicle information;
- maintaining account credentials;
- reviewing information entered into the system; and
- ensuring that employees and authorized users comply with these Terms.
The Client may not use TechShield Auto to:
- conduct unlawful activity;
- intentionally transmit fraudulent information;
- attempt unauthorized access to another account;
- interfere with the operation or security of the service;
- knowingly introduce malicious software;
- misuse payment-processing functionality;
- use another person's credentials without authorization; or
- otherwise misuse the service.
TechShieldIT may investigate suspected misuse and may suspend or restrict access when reasonably necessary to protect the service, the Client, other customers, payment systems, or third parties.
8. Customer Communications and Third-Party Services
Some TechShield Auto features depend on third-party providers, including payment processors, Verifone or other payment terminals, email/SMS providers, hosting providers, mapping providers, or other integrations.
Third-party services may have separate terms, fees, restrictions, privacy policies, or service limitations.
If a workshop already has a Verifone or another external payment terminal, TechShield Auto may be configured to record payments processed through that terminal and store a related payment reference in the system.
TechShield Auto does not replace the workshop's merchant account, card-processing agreement, or terminal-provider relationship.
The merchant processor remains responsible for payment authorization, settlement, and processing charges under the applicable merchant agreement.
Verifone hardware, terminal service, connectivity, support, and direct terminal integration are not included unless separately agreed and configured.
A module described as provider-ready does not mean that third-party service fees or message delivery fees are included unless the applicable provider has been connected and activated.
TechShieldIT is not responsible for failures, interruptions, delays, policy changes, or service availability caused by an independent third-party provider, except to the extent otherwise required by applicable law.
9. Data, Cancellation and Retention
Workshop data remains associated with the subscribed workspace.
When a subscription is cancelled, TechShield Auto currently applies a 90-day retention period before the data becomes eligible for deletion, subject to contractual, operational, security, backup, or legal retention requirements.
Cancelling a subscription stops future renewal according to the applicable subscription terms. Cancellation does not necessarily result in immediate deletion of account data.
The Client remains responsible for exporting or requesting access to necessary business records before the applicable retention period expires.
TechShieldIT may retain information where reasonably necessary to comply with legal obligations, resolve disputes, enforce agreements, prevent fraud or abuse, or maintain legitimate business records.
10. Availability and Product Changes
TechShieldIT LLC may maintain, update, modify, improve, suspend, or discontinue portions of TechShield Auto as reasonably necessary to operate and improve the service.
Features may evolve as the service changes.
Plan descriptions shown at signup are intended to identify the functionality available under the selected plan at the time of subscription.
Changes to pricing or material subscription terms will be communicated as required by applicable law or the applicable agreement.
TechShieldIT does not guarantee that the service will be uninterrupted, error-free, or continuously available.
11. Workshop Records and Legal Compliance
The workshop remains responsible for the legal sufficiency and accuracy of its own:
- repair authorizations;
- estimates;
- invoices;
- customer disclosures;
- vehicle records;
- payment records;
- customer communications;
- business records; and
- other documents required by applicable law.
TechShield Auto provides software tools to capture, organize, and manage information.
TechShield Auto does not provide legal, accounting, tax, or regulatory advice and does not guarantee that the Client's use of the software satisfies any particular legal or regulatory requirement.
The Client is responsible for determining whether its business practices comply with applicable federal, state, and local requirements.
12. Fees and Additional Services
Any additional fees for hardware, installation, configuration, integrations, migration, messaging, payment-terminal services, support, or other services will be disclosed before the applicable service is activated or provided, unless otherwise agreed in writing.
Where a fee is separately disclosed and accepted by the Client, the Client agrees to pay that fee according to the applicable billing terms.
TechShieldIT may require payment of applicable fees before providing certain additional services or equipment.
13. Electronic Acceptance and Electronic Records
The Client agrees that electronic records may be used to document the Client's acceptance of these Terms.
An electronic acceptance may include:
- checking an acceptance box;
- clicking an “I Accept” or “Agree” button;
- submitting a signup or onboarding form;
- creating a username or account;
- logging into TechShield Auto;
- accessing the application;
- using the application or its services after being presented with or provided access to these Terms; or
- another electronic action reasonably indicating acceptance.
To the extent permitted by applicable law, the Client agrees that electronic acceptance may constitute an electronic signature or other electronic record of the Client's agreement.
14. Acknowledgment, Understanding and Acceptance
By accepting these Terms and Conditions, the Client acknowledges and confirms that:
- The Client has had the opportunity to read and review these Terms and Conditions in their entirety.
- The Client understands the services, subscription terms, applicable fees, equipment provisions, payment-processing provisions, and responsibilities described in this Agreement.
- The Client voluntarily agrees to be bound by these Terms and Conditions.
- The Client has had the opportunity to ask questions or request clarification regarding these Terms before accepting them.
- The Client understands that third-party payment-processing fees may be separate from TechShieldIT fees.
- The Client understands that use of a TechShieldIT-provided Verifone may result in the applicable $0.50 TechShieldIT transaction fee, in addition to applicable processor or third-party charges.
- The Client understands that TechShieldIT is not necessarily the merchant processor merely because TechShieldIT provides or facilitates use of a Verifone terminal.
- The Client understands that the Client is responsible for transactions conducted through its merchant account, including charges, refunds, chargebacks, disputes, fraud claims, customer claims, and applicable processor requirements.
- If the Client accepts these Terms on behalf of a business, the Client represents that they have authority to bind that business.
- The Client understands that creating an account, username, logging into, accessing, or using TechShield Auto constitutes acceptance of these Terms to the extent permitted by applicable law.
- The Client agrees to comply with these Terms and all applicable policies incorporated into the Agreement.
15. Acceptance Record and Audit Information
When the Client submits the signup form or otherwise electronically accepts these Terms, TechShield Auto may record information associated with the acceptance, including:
- the Terms and Conditions version accepted;
- acceptance date and time;
- account or username associated with the acceptance;
- IP address;
- browser or device information;
- signup or account information; and
- other reasonable audit information associated with the acceptance.
This information may be maintained as a business record to document the version of the Terms presented to and accepted by the Client.
TechShieldIT may retain such records in accordance with its applicable data-retention practices and legal obligations.
16. Suspension and Termination
TechShieldIT may suspend or terminate access to TechShield Auto where reasonably necessary, including for:
- non-payment;
- suspected fraud;
- unauthorized access;
- misuse of the service;
- violation of these Terms;
- abuse of equipment;
- security concerns;
- unlawful activity;
- material violation of applicable third-party payment-processing requirements; or
- circumstances that create a material risk to TechShieldIT, its customers, payment providers, or the service.
Where reasonably practicable, TechShieldIT may provide notice before suspension or termination.
Suspension or termination does not eliminate payment obligations that accrued before the effective date of suspension or termination.
17. Client Indemnification
To the extent permitted by applicable law, the Client agrees to indemnify and hold harmless TechShieldIT LLC and its owners, officers, employees, contractors, and service providers from claims, losses, damages, liabilities, costs, and reasonable expenses arising out of or relating to:
- the Client's unlawful use of TechShield Auto;
- the Client's violation of these Terms;
- transactions conducted through the Client's merchant account;
- disputes between the Client and its customers;
- refunds or chargebacks attributable to the Client;
- fraud or misuse attributable to the Client or its authorized users;
- the Client's violation of applicable payment-network or processor requirements;
- information or content supplied by the Client; or
- unauthorized or improper use of the service or equipment by the Client or its users.
This provision does not apply to the extent that a claim is caused by conduct for which TechShieldIT is legally responsible.
18. Limitation of Liability
To the maximum extent permitted by applicable law, TechShieldIT LLC will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, including loss of profits, loss of revenue, loss of business, loss of goodwill, loss of anticipated savings, or loss of data, arising out of or relating to the use of TechShield Auto or related services.
To the maximum extent permitted by applicable law, TechShieldIT's aggregate liability arising out of or relating to the services will be limited to the amount actually paid by the Client to TechShieldIT for the applicable TechShield Auto services during the three (3) months immediately preceding the event giving rise to the claim.
Nothing in these Terms is intended to exclude or limit liability that cannot legally be excluded or limited under applicable law.
19. No Professional Advice
TechShield Auto is a software and technology service.
Nothing provided through TechShield Auto constitutes legal, tax, accounting, financial, insurance, or other professional advice.
The Client is responsible for obtaining appropriate professional advice regarding its legal, tax, accounting, payment-processing, and regulatory obligations.
20. Entire Agreement
These Terms and Conditions, together with any applicable order form, subscription details, equipment agreement, pricing disclosure, service agreement, or other document expressly incorporated into these Terms, constitute the agreement between the Client and TechShieldIT LLC regarding the applicable TechShield Auto services.
If there is a conflict between these Terms and a separately signed written agreement, the separately signed agreement will control to the extent expressly stated in that agreement.
21. Governing Law
These Terms and the relationship between the Client and TechShieldIT LLC will be governed by the laws applicable to the agreement, without regard to conflict-of-law principles, except where applicable law requires otherwise.
Nothing in this section prevents a party from exercising rights or seeking remedies that cannot legally be waived.
22. Severability
If any provision of these Terms is determined to be invalid, unlawful, or unenforceable, the remaining provisions will remain in effect to the fullest extent permitted by law.
The invalid or unenforceable provision will be interpreted or modified to the extent legally permissible to best accomplish its intended purpose.
23. Changes to These Terms
TechShieldIT LLC may update these Terms from time to time.
When material changes are made, TechShieldIT may provide notice through the application, website, email, account notification, or another reasonable method.
The updated version will identify its applicable version number and effective date.
Where applicable law requires affirmative acceptance of material changes, TechShieldIT will obtain that acceptance before applying the changed terms.
24. Client Acceptance
